Notice of Public Hearing Concerning Intention of
 
The Industrial Development Board of the City of Hoover to Issue Environmental Improvement Solid Waste Disposal Revenue Bonds

 (United States Steel Corporation Project)

Notice is hereby given that on October 8, 2020, a public hearing as required by Section 147(f) of the Internal Revenue Code of 1986 will be held by the Jefferson County Commission on behalf of itself and the City of Hoover, Alabama with respect to the proposed issuance by The Industrial Development Board of the City of Hoover (the “Board”) of its environmental improvement solid waste disposal revenue bonds in one or more series in an amount not to exceed $100,000,000 (the “Bonds”).  The proceeds of the Bonds will be used to finance or refinance the costs to United States Steel Corporation, a Delaware corporation, or one of its present or future direct or indirect wholly owned subsidiaries (together, the “Company”), of certain solid waste disposal facilities and/or sewage facilities relating to the purchase of equipment and construction of an electric arc furnace and other facilities at the Fairfield Works Mill located at 5700 Valley Road in unincorporated Jefferson County near Hoover, Alabama (the “Project”).  The Company will be the owner or operator of the Project.

 The hearing will commence at 9:00 a.m., or as soon thereafter as the matter can be heard, and will be held at the Jefferson County Courthouse, Commission Chambers, Suite 270, 716 Richard Arrington Jr. Blvd. North, Birmingham, Alabama 35203.  Interested persons wishing to express their views on the issuance of the Bonds or on the nature and location of the Project may attend the public hearing or, prior to the time of the hearing, submit written comments at the address listed below.

The Bonds, when issued, will be special, limited obligations of the Board and shall never constitute an indebtedness of the City of Hoover, Jefferson County, the State of Alabama (the “State”) or any political subdivision thereof within the meaning of any State constitutional or statutory provision nor constitute or give rise to a pecuniary liability of the City of Hoover, Jefferson County or the State or a charge against their general credit or taxing powers.  The Board has no taxing power.
